These Terms of Service ("Terms") govern your access to and use of EZClass, a software-as-a-service platform operated by Light IT, LLC ("EZClass," "we," "us," or "our"). EZClass is provided to martial arts studios and academies ("you," "your," or the "Academy"). By creating an account or using the Service, you agree to these Terms.
By accessing or using EZClass, registering for an account, or clicking to accept these Terms, you confirm that you have read, understood, and agree to be bound by these Terms on behalf of the Academy you represent, and that you have authority to do so. If you do not agree, you may not use the Service.
EZClass is a SaaS platform for martial arts studio operations, including attendance, billing automation, and processing tuition payments on behalf of studios via Stripe Connect. The Service also includes member and parent communications, reporting, and optional marketing tools.
We may update, improve, or modify features of the Service from time to time. We will not materially reduce the core functionality you rely on without reasonable notice.
You must provide accurate account information and keep it current. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must be a business entity or individual legally able to enter into this agreement. You are responsible for the conduct of your staff, instructors, and other users you authorize.
Access to the Service is provided for a monthly subscription fee for the plan you select, plus a per-member charge for members above the included allotment, as described on our pricing page or in your order. Subscription fees are billed in advance and are non-refundable except where required by law.
Tuition payment processing (Stripe Connect). When you use EZClass to collect tuition or other payments from your members, those payments are processed through Stripe using Stripe Connect. You are the merchant of record for tuition collected from your members, and you must accept and comply with Stripe's applicable terms. Payouts, processing fees, and settlement timing are governed by Stripe. EZClass is not a bank or money transmitter and does not hold your funds.
Late or failed subscription payments may result in suspension of the Service after reasonable notice. You are responsible for any taxes associated with your use of the Service, other than taxes on our net income.
As between the parties, the Academy retains all ownership of Academy Data — including member, parent, student, attendance, and payment records ("Academy Data"). EZClass processes Academy Data solely as a service provider on the Academy's behalf to provide the Service, and does not own, sell, or rent Academy Data.
EZClass uses Academy Data only to operate, maintain, support, and improve the Service. EZClass personnel access Academy Data only as necessary for these purposes, on a least-privilege basis; such access is logged and limited to authorized personnel. EZClass does not use Academy Data to market to the Academy's members and does not disclose Academy Data to third parties except the sub-processors in Section 6 or as required by law.
EZClass may create and use aggregated and de-identified data — which cannot reasonably be used to identify any academy, member, or individual — to operate and improve the Service and to produce industry benchmarks and trends. EZClass does not use identifiable personal information for these purposes.
EZClass implements reasonable technical and organizational measures to protect Academy Data, including tenant data isolation, encryption in transit, and access controls. EZClass will notify the Academy without undue delay upon becoming aware of a breach affecting Academy Data.
EZClass uses the following infrastructure sub-processors to deliver the Service:
EZClass maintains a current list of sub-processors and remains responsible for its sub-processors' compliance.
The Academy may request export of Academy Data at any time. Upon termination, EZClass will, on request, delete or return Academy Data within a reasonable period, except where retention is required by law.

EZClass is provided to studios, not directly to children. Where you enroll members under 13, you act as the controller of that data and are responsible for COPPA compliance. See our Privacy Policy for how children's data is handled.
You agree not to: (a) use the Service for any unlawful purpose or in violation of any applicable law or regulation; (b) upload data you do not have the right to provide; (c) interfere with or disrupt the integrity or performance of the Service; (d) attempt to gain unauthorized access to the Service or other accounts; or (e) reverse engineer, copy, or resell the Service except as permitted by law.
The Service, including its software, design, and content (excluding Academy Data), is owned by Light IT, LLC and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to access and use the Service during your subscription term, solely for your internal business purposes. You retain all rights in your own trademarks, logos, and Academy Data.
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.
To the maximum extent permitted by law, in no event will Light IT, LLC be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the amount you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim.
You may cancel your subscription at any time; cancellation takes effect at the end of the then-current billing period. We may suspend or terminate the Service for material breach of these Terms after reasonable notice, or immediately where required by law or to protect the Service or other users. Upon termination, the data export and deletion provisions of Section 6.3 apply.
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by email or in-app notice). Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
These Terms are governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in Georgia for any dispute arising out of or relating to these Terms or the Service.
